These Terms of Service (the "Terms") govern the contracting, access to and use of Tessia, the quality control and language resources agent platform provided by TATUTRAD, S.L. By accepting these Terms during the sign-up, activation or access process for Tessia, the Client agrees to be bound by them.
This document applies both to the beta phase and to paid plans. When the Client takes part in the beta, clause 19 also applies and prevails over any incompatible provisions on price, renewal and availability.
1.1. These Terms govern the contracting, access to and use of Tessia, the quality control and language resources agent platform provided by TATUTRAD, S.L. ("Tatutrad").
1.2. Tatutrad's details: tax ID (NIF) B91619882; address Paseo de las Delicias, 3, planta 5 izquierda, módulo 5, 41001 Sevilla, España; registered in the Seville Commercial Registry, volume 4592, folio 135, sheet SE-71970; email information@tatutrad.net.
1.3. Tessia is a trade mark or trade name used by Tatutrad for this Service and is not a separate legal entity.
1.4. The contracting party is the company or professional that registers, activates an Organisation, accepts an offer or is given access to Tessia (the "Client"). Tatutrad and the Client are together the "Parties".
1.5. In the event of a conflict between documents, they apply in this order: (i) special conditions or offer accepted by the Client; (ii) Annex I, as regards the processing of personal data; (iii) these Terms; and (iv) the Plan description published on the website or communicated to the Client.
3.1. Tessia is an exclusively professional service. It may only be used or contracted by legal entities and by individuals acting within their business or professional activity.
3.2. Tatutrad does not offer Tessia to consumers. By accepting these Terms, the Client declares that it acts for business or professional purposes.
3.3. The person who accepts these Terms on behalf of the Client declares that they have sufficient authority to bind it.
3.4. Users must be over 18 years of age.
4.1. The Client may become bound by these Terms by: (i) signing or accepting an offer or special conditions that incorporate them; or (ii) accepting them electronically within Tessia through the checkbox or mechanism provided for that purpose.
4.2. Electronic acceptance cannot be completed unless the Client has first had access to the applicable version of these Terms. Before accepting them, the Client can read, download and print them, and review and correct the data entered up to the last step.
4.3. Tatutrad will keep evidence of the acceptance, including the identity of the account or Organisation, date and time, version of the Terms accepted and any other technical data needed to prove the contract. This electronic document is archived and will be provided to the Client on request.
4.4. Tatutrad will confirm the acceptance by email or by a notice within the Platform within the following 24 hours.
4.5. The Client must provide and keep up to date its business, tax and contact details.
4.6. Accepting these Terms also means accepting Annex I whenever Tatutrad processes personal data contained in Client Content on the Client's behalf.
4.7. Tatutrad may ask each User to accept the acceptable use rules in clause 11 the first time they access the Platform or when those rules change.
4.8. The contract may be entered into in Spanish or English. In the event of any discrepancy between the two versions, the Spanish version prevails.
5.1. Tessia offers artificial intelligence tools for translation quality analysis, including Tessia Guard and Tessia Triage and, depending on the Plan, client profiles, reference materials, connections to third-party services and usage dashboards.
5.2. Features announced as future or "coming soon" are not part of the Service until they are actually activated.
5.3. Results are generated by artificial intelligence systems and are an aid to professional review. They may contain errors, miss real errors or flag correct content as an error. The Client and its Users must always review the Results before using them or delivering work to third parties. Tessia does not replace human review or certify the quality of a translation.
5.4. Tatutrad may improve, change or replace features, artificial intelligence models and providers to maintain or improve the Service. If a change substantially reduces an essential feature of a paid Plan, Tatutrad will give at least 30 days' notice and the Client may cancel before it applies, with a proportional refund of the period paid and not used.
5.5. Using the Platform requires an internet connection, an up-to-date browser and files in the formats supported by the technical documentation.
6.1. The Owner and administrators may add Users within the limits of the Plan. The Client decides who has access to its Organisation and will remove access that is no longer needed.
6.2. Accounts are personal and non-transferable. Sharing credentials is not allowed. Tatutrad may limit the number of sessions open at the same time on a single account.
6.3. The Client is responsible for its Users' activity on the Platform as if it were its own and must ensure that they comply with these Terms.
6.4. The Client must protect credentials and report without delay any unauthorised access or suspected compromise to support@tessialang.com.
6.5. Tatutrad may temporarily block accounts or access when it detects a risk to the security of the Platform, the Client or third parties, informing the Client as soon as reasonably possible.
7.1. Each Plan includes an amount of TessCoins per Cycle and certain limits on Users, client profiles, history, storage and features. What applies to each Client will be shown on the Platform, in the offer or in the Plan description.
7.2. Each analysis consumes TessCoins according to the volume of text and context processed. Actual consumption will be shown on the Platform. Any prior estimate is indicative.
7.3. Running an analysis may require a balance sufficient for the estimated consumption. The Platform may reserve that balance and later adjust consumption to the actual volume, even where this results in a negative balance that is offset in the following Cycle.
7.4. Repeating an analysis results in new consumption. Every analysis that is run consumes TessCoins for the volume processed even if it does not finish, whether because the User cancels it, because it exceeds the Platform's technical limits or because the artificial intelligence provider fails. If the Platform warns before an analysis is run that its volume exceeds the recommended one, running it after that warning is the Client's decision and responsibility. If the failure is attributable to the Platform itself, Tatutrad may refund the TessCoins consumed after reviewing the incident.
7.5. TessCoins have no monetary value and cannot be exchanged for money or transferred. Unless the Plan states otherwise, TessCoins from a Cycle that are not consumed carry over to the following Cycle and expire at the end of it, and the oldest are consumed first. Any TessCoins remaining when the relationship ends are forfeited.
7.6. Tatutrad may adjust the equivalence between volume processed and TessCoins, the amount of TessCoins in each Plan or the limits of each Plan, giving 30 days' notice on paid Plans. The Client may cancel before the change takes effect.
7.7. Special conditions or offers may grant additional TessCoins, Users, profiles or features for a set period.
8.1. This clause applies to paid Plans. During a free beta, clause 19 applies.
8.2. The price is the one stated in the offer, on the Platform or in the Plan description at the time of contracting. Amounts do not include VAT or other applicable taxes, which will be added where appropriate.
8.3. Unless otherwise agreed, the price is paid in advance at the start of each Cycle. The Plan and its TessCoins are activated once payment is confirmed.
8.4. Tatutrad will issue an electronic invoice and send it to the billing email provided by the Client.
8.5. If a payment cannot be collected, Tatutrad will notify the Client. If it remains outstanding 15 days after the notice, Tatutrad may suspend access without deleting any data. If non-payment continues 30 days after the suspension, Tatutrad may terminate the contract. Overdue amounts will, where applicable, accrue late-payment interest under Spanish Law 3/2004.
8.6. Cycles already started and TessCoins consumed or expired are not refunded, except in the cases expressly provided for in these Terms or where failures attributable to Tatutrad substantially prevent use of the Service.
8.7. Tatutrad may change its prices by giving 30 days' notice. The new price applies from the first Cycle that starts after that period or, on annual Plans, from the next renewal. The Client may choose not to renew or cancel before the new price applies.
9.1. On paid Plans, the Service lasts for the Cycle contracted and renews automatically for equal periods unless either Party gives notice of non-renewal.
9.2. The Client may cancel at any time using the options available on the Platform or by writing to support@tessialang.com. Unless otherwise agreed, cancellation takes effect at the end of the period already paid.
9.3. Either Party may terminate the relationship if the other breaches an essential obligation and does not remedy it within 15 days of receiving a written notice.
9.4. Tatutrad may suspend or terminate with immediate effect in the event of unlawful use, a serious security risk, infringement of third-party rights, an attempt to access other clients' data or the Platform's internal instructions, or any other serious breach of the acceptable use rules.
9.5. Tatutrad may stop providing the Service by giving 90 days' notice. On paid Plans it will refund the proportional part of the period paid and not used.
10.1. When the relationship ends, access for the Organisation's Users is deactivated.
10.2. During the following 30 days, the Client may request temporary reactivation of the Owner's access to download Results that are still available, or ask for its data to be deleted earlier.
10.3. After that period, Tatutrad will delete Client Content, Results, profiles, connections and User accounts, without prejudice to the ordinary overwrite cycle of providers' backups.
10.4. Tatutrad may keep the strictly necessary usage records for the applicable periods to comply with legal obligations and handle claims, acting as data controller for those data. During that time they will remain blocked and will only be used for those purposes.
10.5. Provisions that by their nature must remain in force after termination (including intellectual property, confidentiality, liability, indemnity, outstanding payments and governing law) will continue in force.
11.1. The Client may use Tessia for its own business and to provide services to its clients, but neither the Client nor its Users may:
11.2. Tatutrad does not generally monitor Client Content. Anyone may report illegal content hosted on the Platform by writing to information@tatutrad.net, giving the reasons, the exact location of the content, their name and email address and a statement that the report is made in good faith. Tatutrad will review it diligently and communicate its decision and the reasons for it to the person who reported it and to the Client concerned, who may reply through the same channel.
11.3. Tatutrad may remove or block content or access where necessary and proportionate in response to breaches, security risks, complaints or legal requirements, and will explain the reasons to the Client unless the law prevents it or urgency does not allow it beforehand.
11.4. The single point of contact for authorities and recipients of the Service, and the contractual and legal contact, is information@tatutrad.net, in Spanish or English, unless another contact is expressly indicated.
12.1. Client Content remains the property of the Client or its respective owners. The Client grants Tatutrad a limited, non-exclusive, free licence for the duration of the relationship to host, copy, process and transmit that Content only to the extent necessary to provide the Service, keep it secure and comply with the law.
12.2. Results belong to the Client. Tatutrad acquires no exploitation rights over them.
12.3. Tatutrad will not use Client Content or Results to train artificial intelligence models or for any purpose other than providing the Service, and will not show them to other clients. Under its current contractual terms, Tessia's artificial intelligence provider does not use them to train its models either. Tatutrad may use aggregated usage data and technical metrics that do not include Client Content to operate, invoice, secure and improve the Service.
12.4. The Platform, its software, design, trade marks, internal instructions, model configuration and documentation belong to Tatutrad or its licensors. The Client only receives a limited, non-exclusive and non-transferable right of use for as long as its access lasts.
12.5. Improvement suggestions voluntarily sent by the Client may be used by Tatutrad without compensation, provided they do not include Client Content or confidential information.
13.1. Tatutrad will process as controller the personal data of the Client's Users and contact persons needed to manage accounts, usage, invoicing, security and the contractual relationship, in accordance with the privacy policy.
13.2. As regards personal data contained in Client Content, the Client acts as controller and Tatutrad as processor, under the terms of Annex I.
13.3. The Client declares that it has a sufficient legal basis to process the data it adds to the Service and to entrust their processing to Tatutrad, and that it will comply with its information duties and other applicable obligations.
13.4. Where the configuration chosen by the Client involves the Client contracting a third party or technology provider directly, each Party's responsibilities regarding that third party will be determined by that contractual relationship and applicable law.
14.1. Any non-public information that one Party receives from the other in connection with the Service is confidential, in particular Client Content, Results, special conditions and the technical, operational and security information of the Platform.
14.2. Each Party will use the other's confidential information solely to perform the contractual relationship, will apply reasonable protection measures and will only disclose it to staff, collaborators or providers who need to know it and are bound by equivalent confidentiality obligations.
14.3. Information is not confidential if it is public without breach, was already lawfully known to the receiving Party, has been developed independently or is lawfully received from a third party. Disclosure required by law or by a competent authority is not a breach, provided it is limited to what is necessary and, where legally possible, the other Party is informed beforehand.
14.4. By design of the Platform, Tatutrad's team does not ordinarily access Client Content or Results. Access may only take place when the Client expressly authorises it in writing to resolve a specific incident, or when there is a legal obligation or a request from an authority. In both cases it will be limited to what is strictly necessary and to the time required, and Tatutrad will keep a record of the authorisation and of the access.
14.5. The confidentiality obligation remains in force for the duration of the relationship and for five years after it ends. For Client Content and trade secrets, it lasts for as long as they retain that status.
15.1. Tatutrad will make reasonable efforts to keep the Platform available and working, but does not guarantee the complete absence of interruptions or errors unless a service level has been expressly agreed.
15.2. The Platform may be interrupted for maintenance, updates or security reasons. Tatutrad will try to minimise the impact and give advance notice where reasonably possible.
15.3. Support is provided at support@tessialang.com, on working days in Seville and in Spanish or English, with no guaranteed response time unless otherwise agreed.
15.4. During the beta, the specific availability terms of clause 19 also apply.
16.1. Tatutrad will provide the Service with the professional diligence required and in line with its description. It does not guarantee that the Results are free from errors, that they detect every error in a translation or that the Service suits specific purposes that have not been agreed.
16.2. The Client is responsible for the work it delivers to its own clients and for the decisions it takes based on the Results.
16.3. To the fullest extent permitted by law, neither Party will be liable to the other for indirect or consequential damages, loss of profit, or loss of business, clients or reputation.
16.4. Tatutrad's total aggregate liability arising from the Service, on any ground, including breaches of confidentiality or data protection, will not exceed the amount actually paid by the Client to Tatutrad for Tessia in the 12 months before the event giving rise to the claim, unless a different limit has been agreed.
16.5. Where participation in the beta is free and the Client has paid nothing for Tessia, Tatutrad will only be liable in cases where liability cannot legally be excluded or limited.
16.6. The above limits do not apply in cases of wilful misconduct or gross negligence, or in other cases where the law prohibits excluding or limiting liability.
16.7. Tatutrad is not liable for third-party services connected or contracted directly by the Client, or for internet or third-party interruptions beyond its reasonable control.
17.1. The Client will hold Tatutrad harmless against third-party claims, penalties or reasonable costs arising from Client Content infringing third-party rights or the law, or from a breach of the acceptable use rules attributable to the Client or its Users.
17.2. Tatutrad will notify the Client of the claim without undue delay and cooperate in its defence as needed.
18.1. Neither Party will be liable for failures caused by events beyond its reasonable control, including natural disasters, large-scale cyber attacks, widespread outages of cloud or artificial intelligence providers, supply cuts or decisions of authorities.
18.2. The affected Party will inform the other and take reasonable steps to reduce the effects. If the situation lasts more than 30 days, either Party may end the relationship, with a proportional refund of the part paid and not used where applicable.
19.1. This clause applies when Tatutrad has expressly identified the Client's Organisation or access as participation in the Tessia beta.
19.2. Unless otherwise agreed, access to the beta is free and subject to the TessCoin balance, period and limits that Tatutrad communicates to the participant.
19.3. While the beta is free, the provisions of clause 8 on price, invoicing and payment and the automatic renewal rules of clause 9.1 do not apply.
19.4. The beta is a service under test. It may change, fail, contain errors or be interrupted, and it carries no availability or service level commitment unless expressly agreed in writing.
19.5. Tatutrad may ask the participant for feedback on the beta, incidents detected and user experience. Sending feedback does not authorise Tatutrad to use Client Content or confidential information beyond what these Terms allow.
19.6. Participation in the beta lasts two weeks from the date on which Tatutrad sends the Client the invitation to the Platform. Tatutrad may extend it by notifying the Client in writing.
19.7. When that period ends, access will end and clause 10 will apply. The Client may take out a paid Plan once they are available.
19.8. Tatutrad may end a Client's participation in the beta early with 2 days' notice, or immediately in the cases set out in clause 9.4.
20.1. Tatutrad may amend these Terms due to legal, technical, Service or commercial changes. On paid Plans, substantial changes will be notified at least 30 days in advance, unless they must apply earlier because of a legal obligation or urgent security reasons.
20.2. If a paying Client does not accept a substantial change that is unfavourable to it, it may cancel before the change takes effect, with a proportional refund of the period paid and not used where applicable.
20.3. Where a change requires a new express acceptance, Tatutrad may request it through the Platform before allowing continued use of the Service.
20.4. The date of the Terms in force is shown at the top of this document. Tatutrad will keep previous versions to prove which text was accepted at any given time.
21.1. Tatutrad will communicate with the Client by email to the Owner, administrators or designated contacts and, where appropriate, through notices on the Platform.
21.2. The Client will use support@tessialang.com for operational matters and information@tatutrad.net for contractual, legal or privacy matters, unless other contacts are indicated.
21.3. Communications by email are considered written communications for the purposes of these Terms.
22.1. The Client may not assign its contractual position or transfer its Organisation to a third party without Tatutrad's prior written consent.
22.2. Tatutrad may assign the relationship to a company in its group or to whoever succeeds it in the Tessia business, informing the Client. If the assignment materially alters the position of a paying Client, the Client may cancel before it takes effect.
23.1. These Terms, the applicable special conditions or offer and Annex I form the agreement between the Parties on the use of Tessia.
23.2. If a provision is declared void or ineffective, the rest remains in force. The affected provision will be replaced, where possible, by a valid one that comes as close as possible to its purpose.
23.3. Failure to enforce an obligation at any given time does not mean waiving the right to enforce it later.
23.4. The Parties are independent. The relationship creates no employment, agency, representation, partnership or company relationship.
23.5. These Terms are governed by Spanish law. For any dispute, the Parties submit to the courts of Seville, unless a mandatory rule provides otherwise.
23.6. These Terms are published in Spanish and English. The English version is a translation; in the event of any discrepancy, the Spanish version prevails.
This Annex forms part of the Terms and governs the processing by Tatutrad, as processor under article 28 of Regulation (EU) 2016/679 (GDPR), of the personal data contained in Client Content when the Client acts as controller.
| Aspect | Description |
|---|---|
| Subject matter | Processing of the personal data contained in Client Content to provide Tessia. |
| Duration | The term of the access or contractual relationship and the subsequent return or deletion period set out in these Terms. |
| Operations | Hosting, automated analysis with artificial intelligence, transmission to the model provider, generation and retention of Results, consultation of connected materials and deletion. |
| Types of data | Those the Client includes in its texts and materials; usually names, contact details, job titles and other data found in documents being translated or reviewed. |
| Data subjects | The people whose data appear in the texts or materials of the Client or of its clients, for example clients, employees, collaborators or patients. |
This Annex does not cover the data of the Client's Users and contacts that Tatutrad processes as controller to manage the account, security, invoicing and the relationship with the Client.
2.1. Instructions. Tatutrad will process the data only on the Client's documented instructions, including those contained in these Terms, the configuration chosen on the Platform and any additional written instructions. If it considers that an instruction infringes applicable law, it will say so without delay.
2.2. Confidentiality. People authorised to process personal data will be bound by contractual or statutory confidentiality obligations.
2.3. Security. Tatutrad will apply technical and organisational measures appropriate to the risk (article 32 GDPR), including those described in the Service's current security documentation. Among others:
Tatutrad may replace these measures with others that offer an equivalent or higher level of protection.
2.4. Subprocessors. The Client gives a general authorisation for the use of subprocessors. Those currently used are listed in section 5. Tatutrad will keep that list up to date and give reasonable advance notice of any additions or replacements. The Client may raise reasoned objections; if no reasonable solution is possible, it may cancel the affected Service. Tatutrad will contractually impose on each subprocessor data protection obligations equivalent to those in this Annex and will remain liable to the Client for their compliance (article 28(4) GDPR).
2.5. International transfers. Some subprocessors are companies based outside the European Economic Area or process data outside it. In particular, the text being analysed is sent to Anthropic, the artificial intelligence model provider, which processes it in the United States. These transfers rely on the standard contractual clauses approved by the European Commission, incorporated into each subprocessor's data processing agreement and, where the subprocessor is certified, on the EU-US Data Privacy Framework (articles 45 and 46 GDPR). By accepting these Terms, the Client expressly authorises Anthropic's involvement as a subprocessor and the resulting transfer, which is necessary to provide the Service.
2.6. Data subject rights. If Tatutrad receives a request concerning data processed on the Client's behalf, it will forward it to the Client and provide reasonable assistance in responding to it.
2.7. Security breaches. Tatutrad will notify the Client of personal data breaches affecting data processed on its behalf without undue delay and in any event within 72 hours of becoming aware of them, with the information set out in article 33(3) GDPR that it has available, which it will complete as it obtains it, so that the Client can meet its legal obligations.
2.8. Assistance. Tatutrad will provide the Client with reasonable assistance, taking into account the nature of the processing and the information available, to comply with its obligations on security, breach notification, impact assessments and prior consultations.
2.9. End of processing. Once the service ends, Tatutrad will return or delete the data in accordance with the mechanism and periods set out in these Terms, unless there is a legal obligation to keep them. It may certify the deletion at the Client's reasonable request.
2.10. Information and audits. Tatutrad will make available to the Client the information reasonably necessary to demonstrate compliance with this Annex. The Client, or an independent auditor bound by confidentiality who is not a competitor of Tatutrad, may carry out audits with 30 days' notice, no more than once a year except in the event of a security breach or a request from an authority, at its own cost, proportionately and without accessing or compromising other clients' data. Subprocessors' certifications and audit reports may serve as evidence of their measures.
2.11. Records. Where required, Tatutrad will keep a record of the processing activities carried out on the Client's behalf.
These are the current subprocessors, with the service they provide, the data location and the applicable transfer mechanism:
| Subprocessor | Service | Data location | Transfer mechanism |
|---|---|---|---|
| Supabase | Database, authentication and file storage | Ireland (EU) | Singapore company: standard contractual clauses |
| Vercel | Hosting and running the application | Ireland (EU) | US company: EU-US Data Privacy Framework and standard contractual clauses |
| Anthropic | Artificial intelligence model that analyses the texts | United States | Standard contractual clauses |
| Resend and Amazon Web Services | Sending Platform emails | Ireland (EU) | US companies: standard contractual clauses |
| Notion | Handling the bug reports sent by Users, which may include a screenshot | United States | Standard contractual clauses |
Each Party is liable for its own breaches of this Annex and of data protection law, subject to the liability limits set out in these Terms to the extent they are legally applicable, and without prejudice to rights and liabilities that cannot be excluded by mandatory rules.
